Wholesale program terms and conditions.

These Wholesale Terms and Conditions (“Wholesale Terms”) govern the business relationship between WholesaleBulkPeptides (“Company,” “we,” “us,” or “our”) and approved members of our Wholesale Program (“Wholesale Partner,” “you,” or “your”). These Wholesale Terms supplement and are incorporated into our general Terms of Service. In the event of a conflict, these Wholesale Terms shall prevail for matters specific to the wholesale relationship.

1. Wholesale Account Eligibility and Approval

Wholesale accounts are available to qualified businesses and institutions that meet our eligibility criteria and successfully complete the application process:

  • Business registration — Applicants must provide proof of active business registration (LLC, corporation, or equivalent) in their jurisdiction of operation.
  • RUO compliance commitment — Applicants must acknowledge and agree to comply with our Research Use Only Policy in all aspects of their business operations, including downstream distribution and marketing.
  • Application review — All applications are subject to review and approval by WholesaleBulkPeptides. We reserve the right to decline any application at our sole discretion without obligation to state the reason.
  • Ongoing qualification — Wholesale account status is contingent on continued compliance with these Wholesale Terms, our policies, and applicable law. We reserve the right to revoke wholesale status at any time for non-compliance.

2. Minimum Order Quantities (MOQs)

Wholesale pricing is subject to minimum order quantity requirements designed to ensure operational efficiency and maintain competitive pricing for our partners:

  • Per-order minimums — Each wholesale order must meet the minimum order value threshold established for your account tier. Specific minimums are communicated upon account approval and may vary by tier.
  • Per-compound minimums — Individual compounds within an order may be subject to per-SKU minimum quantities, particularly for private-label orders requiring custom packaging.
  • Quarterly volume commitments — Certain pricing tiers require minimum quarterly purchasing volumes to maintain tier status and associated pricing. Failure to meet quarterly minimums may result in tier reassignment.
  • MOQ adjustments — MOQs may be adjusted periodically based on manufacturing capacity, raw-material availability, and market conditions. Partners will receive advance notice of any MOQ changes.

Orders below the applicable MOQ threshold will be processed at standard (non-wholesale) pricing or may be declined at our discretion.

3. Pricing and Tier Structure

Wholesale pricing is structured in volume-based tiers that reward growth and purchasing consistency:

  • Tier assignment — Partners are assigned to pricing tiers based on their application, projected volume, and purchasing history. Tiers are reviewed quarterly.
  • Tier advancement — Partners who exceed the volume threshold for a higher tier are automatically advanced to the improved pricing level at the next quarterly review.
  • Tier maintenance — Maintaining a pricing tier requires meeting the minimum quarterly volume commitment associated with that tier.
  • Price changes — Wholesale pricing is subject to change based on manufacturing costs, raw-material pricing, and market conditions. Partners will receive a minimum of 30 days advance notice of pricing changes. Orders placed before the effective date of a price change will be honored at the prior pricing.
  • Special pricing — Custom pricing may be available for exceptionally large orders, exclusive distribution agreements, or long-term volume commitments. Contact our team to discuss custom arrangements.

4. Payment Terms

Payment terms for wholesale accounts are structured as follows:

  • New accounts (first 90 days) — Prepayment or payment at the time of order placement is required for all orders during the initial 90-day period or the first three orders, whichever is longer.
  • NET-15 terms — Available to established accounts with a minimum of 90 days of account history and satisfactory payment performance. Payment is due within 15 calendar days of invoice date.
  • NET-30 terms — Available to high-volume enterprise partners with demonstrated credit history and a minimum of six months of account history. Payment is due within 30 calendar days of invoice date.
  • Late payment penalties — Payments received after the due date are subject to a late fee of 1.5% per month (18% annualized) on the outstanding balance. Repeated late payments may result in reversion to prepayment terms or account suspension.
  • Accepted payment methods — Wire transfer (preferred for large orders), ACH bank transfer, and major credit cards (subject to processing fees).
  • Credit limits — NET accounts are subject to credit limits determined by WholesaleBulkPeptides based on order history, payment performance, and business profile. Credit limit increases may be requested through your account manager.

5. Order Fulfillment and Shipping

Wholesale orders are processed with priority fulfillment:

  • Processing time — Standard wholesale orders are processed within 1–3 business days of order confirmation and payment receipt (or credit approval for NET accounts).
  • Shipping method — All peptide products are shipped with appropriate cold-chain packaging to maintain product integrity during transit.
  • Shipping costs — Shipping costs are the responsibility of the Wholesale Partner unless otherwise specified in a custom agreement. Orders above certain thresholds may qualify for discounted or complimentary shipping.
  • Drop-ship fulfillment — Drop-ship services are available for partners who wish to have orders shipped directly to their end customers. Drop-ship orders include your branding and documentation. Additional fees may apply.
  • International orders — International Wholesale Partners are responsible for all customs duties, import taxes, and regulatory compliance in the destination country. We provide export documentation as required.

6. Quality Assurance and COA Documentation

All products supplied under these Wholesale Terms are accompanied by batch-specific Certificates of Analysis documenting results from our comprehensive testing methodology:

  • Purity guarantee — All compounds meet a minimum 98% HPLC purity specification unless otherwise noted for specific products.
  • COA availability — COAs are provided with every shipment and are accessible through our COA library. Pre-shipment COAs are available upon request.
  • Private-label COAsPrivate-label partners receive co-branded COAs formatted with their brand identity.
  • Quality disputes — Quality-related claims must be submitted in accordance with our Refund Policy. We support and encourage independent third-party verification of our products.

7. RUO Compliance and Downstream Distribution

Wholesale Partners assume full responsibility for maintaining Research Use Only compliance in all downstream activities:

  • Labeling — All products must retain RUO labeling through the distribution chain to end users. Removing or obscuring RUO designations is a material breach of these terms.
  • Marketing — Wholesale Partners must not market, advertise, or represent products as suitable for human or animal consumption, therapeutic use, or clinical application.
  • Customer vetting — Wholesale Partners are encouraged to implement reasonable customer-qualification processes to ensure products reach appropriate end users engaged in legitimate research activities.
  • Liability — Wholesale Partners indemnify WholesaleBulkPeptides against all claims arising from the Partner’s distribution, marketing, or downstream customers’ use of products in violation of RUO requirements.

8. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the wholesale relationship, including but not limited to: wholesale pricing, volume commitments, custom formulations, private-label specifications, and business strategies. Confidentiality obligations survive termination of the wholesale relationship for a period of two (2) years.

9. Term and Termination

These Wholesale Terms remain in effect for the duration of the Wholesale Partner’s active account status:

  • Voluntary termination — Either party may terminate the wholesale relationship with 30 days written notice.
  • Termination for cause — WholesaleBulkPeptides may terminate wholesale accounts immediately upon: material breach of these terms, violation of the Research Use Only Policy, failure to maintain minimum order commitments for two consecutive quarters, or persistent late payment.
  • Effect of termination — Upon termination, outstanding invoices become immediately due. The Partner must cease using any wholesale pricing, marketing materials, and product data provided under the wholesale relationship.

10. Governing Law

These Wholesale Terms shall be governed by the laws of the State of Delaware, consistent with the governing law provisions of our Terms of Service. Disputes shall be resolved through binding arbitration as described in our Terms of Service.
