These Terms of Service (“Terms”) govern your access to and use of the WholesaleBulkPeptides.com website (“Site”) and the purchase of products and services from WholesaleBulkPeptides (“WBP,” “we,” “us,” or “our”). By accessing the Site or placing an order, you (“Buyer,” “you,” or “your”) agree to be bound by these Terms.

1. Business-to-Business Relationship

WBP operates exclusively as a business-to-business (B2B) wholesale distributor. By accessing this Site and purchasing products, you represent that you are acting on behalf of a registered business entity — not as an individual consumer. Consumer protection laws applicable to business-to-consumer transactions may not apply to purchases made through WBP.

2. Account Registration and Approval

Access to wholesale pricing and product ordering requires an approved wholesale account. By submitting an account application, you represent that: (a) the information provided is accurate and complete; (b) you are authorized to act on behalf of the business entity named in the application; (c) your business is engaged in legitimate activities related to the purchase and distribution of research chemicals; and (d) you will notify WBP promptly of any changes to your business information.

WBP reserves the right to approve or deny any account application at its sole discretion and without obligation to provide a reason for denial. Account approval may be revoked at any time if WBP determines that the account holder has violated these Terms or any applicable WBP policy.

3. Products — Research Use Only

All products sold by WBP are designated for laboratory research use only. They are not drugs, dietary supplements, food additives, or cosmetic ingredients. They are not intended for human consumption, therapeutic use, or diagnostic purposes. By purchasing products, you agree to the terms of our Research Use Only Policy, which is incorporated into these Terms by reference.

4. Orders and Pricing

4.1 Order Placement

Orders may be placed through the dealer portal, via email to your account manager, or by phone. All orders are subject to product availability and acceptance by WBP. An order is not binding until confirmed by WBP via email or the dealer portal.

4.2 Pricing

Prices are determined by the applicable wholesale tier based on order volume. Prices are subject to change without notice; however, confirmed orders will be honored at the quoted price. Prices do not include shipping, handling, or applicable taxes unless otherwise stated.

4.3 Minimum Order Quantities

All orders are subject to minimum order quantities (MOQs) as published on the Site or communicated by your account manager. Orders that do not meet applicable MOQs will not be processed. See our Wholesale Account Terms for current MOQ requirements.

5. Payment Terms

Payment for first orders is due at the time of purchase. Accepted payment methods include credit card (Visa, Mastercard, American Express), wire transfer, and ACH. NET payment terms (NET-30, NET-45, NET-60) may be available to qualifying accounts as described in our Wholesale Account Terms. Late payments may be subject to a 1.5% monthly service charge on the outstanding balance.

6. Shipping and Delivery

WBP ships from its facility in Phoenix, AZ via FedEx or UPS. Orders placed before 2:00 PM MST on business days typically ship same day for in-stock items. Shipping costs are calculated at checkout or quoted by your account manager. Risk of loss and title transfer to the Buyer upon delivery to the carrier. WBP is not liable for delays caused by carriers, weather, natural disasters, or circumstances beyond our control.

7. Returns and Refunds

Returns and refunds are governed by our Refund Policy, which is incorporated into these Terms by reference. Due to the nature of research chemicals, all sales are final except in cases of documented quality defects, shipping damage, or order errors attributable to WBP.

8. Intellectual Property

All content on this Site — including text, graphics, logos, images, and software — is the property of WBP or its licensors and is protected by United States copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any Site content without prior written permission from WBP.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WBP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SITE, PURCHASE OF PRODUCTS, OR ANY TRANSACTION BETWEEN YOU AND WBP. WBP’S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless WBP, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of any product in violation of the Research Use Only Policy; (b) your breach of these Terms; (c) your violation of any applicable law or regulation; or (d) any claims brought by your customers or downstream distributors.

11. Disclaimer of Warranties

PRODUCTS ARE PROVIDED “AS IS” FOR RESEARCH USE ONLY. WBP MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WBP WARRANTS ONLY THAT PRODUCTS WILL CONFORM TO THE SPECIFICATIONS STATED ON THE APPLICABLE CERTIFICATE OF ANALYSIS AT THE TIME OF SHIPMENT.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of laws provisions. Any dispute arising from or related to these Terms shall be resolved through binding arbitration in Maricopa County, Arizona, in accordance with the rules of the American Arbitration Association. The prevailing party in any arbitration or legal proceeding shall be entitled to recover its reasonable attorneys’ fees and costs.

13. Force Majeure

WBP shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, government actions, supply chain disruptions, labor disputes, or utility failures.

14. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

15. Modifications

WBP reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of the Site or purchase of products after any modification constitutes acceptance of the revised Terms.
